Welcome to Mannah! These Terms of Use govern the use of the services provided by our platform, whether through our dashboard or API integration. By using our services, you agree to the Terms described below. If you do not agree, do not use the platform.

  • Mannah: Asset tokenization platform on blockchain operated by NOK-NOK INTERMEDIAÇÃO DE NEGÓCIOS LTDA.

  • User: Any individual or legal entity that uses Mannah's services.

  • Services: Tools offered by Mannah, including the dashboard, API integration, and associated functionalities for asset tokenization.

  • Tokens: Digital representations of assets tokenized on the blockchain as requested by the User.

2. Purpose

Mannah provides a technology solution (SaaS) that enables asset tokenization and the movement of these assets on the blockchain through:

  1. A dashboard accessible via a web browser;

  2. An API, which can be integrated into the User's systems.

The service fee is calculated based on the volume of tokens transacted monthly, as agreed upon by the parties.

4. Conditions of Use

4.1. Permitted Use: The User may use the services solely for purposes permitted by law and in accordance with these Terms.
4.2. Prohibitions: The User is prohibited from:

  • Using the platform for illegal or fraudulent purposes or in violation of third-party rights;

  • Modifying, distributing, or exploiting Mannah's services without prior authorization;

  • Breaching the platform’s security, including attempts at unauthorized access.

5. Pricing and Payment

5.1. Pricing Model: The service fee is calculated based on the monthly volume of tokens transacted, as agreed upon in the contract.
5.2. Invoices: Charges will be issued monthly, and payment must be made within the deadline specified in the invoice.
5.3. Default: Failure to pay may result in the suspension of services until the outstanding balance is settled.

6. Intellectual Property

All rights related to the Mannah platform, including software, design, trademarks, and content, are the exclusive property of NOK-NOK INTERMEDIAÇÃO DE NEGÓCIOS LTDA. The User does not acquire any rights to the services other than the limited use described in these Terms.

7. Limitation of Liability

Mannah is not responsible for:

  • Damages caused by improper use of the platform by the User;

  • Losses resulting from failures in blockchain networks or external providers;

  • Temporary interruptions or unavailability of services.

8. Termination and Suspension

Mannah may terminate or suspend access to the services at any time if the User violates these Terms or misuses the services.

9. Changes to the Terms

Mannah reserves the right to amend these Terms of Use at any time. In the event of significant changes, we will notify Users via the registered email or a notice on our platform.

10. Governing Law and Jurisdiction

These Terms are governed by Brazilian law. The Court of São Paulo/SP is elected as the competent jurisdiction to resolve any disputes arising from this document.
